GENERAL TERMS AND CONDITIONS FOR BUSINESS CUSTOMERS

General

Handshake Finland Oy (“Valostore”) provides business customers (“the Customer”) with business sales services through Valostore’s online store (“ValostoreB2B”). The products (“Products”) purchased via ValostoreB2B may only be used within the Customer’s own business operations and are not intended for resale. The provisions of consumer protection legislation do not apply to products purchased by the Customer. The Customer is responsible for all costs that Valostore may incur if a person who has purchased a product from the Customer makes consumer protection–based claims against Valostore.

Valostore reserves the right to amend these terms and conditions at any time. For each order, the terms and conditions in force at the time of ordering shall apply (the latest version is available at b2b.valostore.com). By using ValostoreB2B, the Customer confirms having read and accepted the terms in effect at that time. Only these terms apply to the Customer’s orders unless Valostore has agreed otherwise in writing. The Customer may not invoke their own terms or reservations as binding on Valostore.

Formation of the Agreement

A binding agreement between the parties arises when Valostore sends an order confirmation to the Customer and/or when the Customer registers as a ValostoreB2B customer. Valostore is not obliged to accept any order.

Orders placed on weekdays before 2:00 p.m. are generally processed the same day, while orders placed on weekends or public holidays are processed the next business day.

Valostore is not responsible for the availability of products or services. Availability may vary from information in marketing materials or on the website. Valostore may cancel an order without liability if delivery is temporarily or permanently impossible or if there has been an obvious error in pricing or product information.

Prices

Prices listed in Valostore’s online store, marketing materials, and other communications may be stated inclusive or exclusive of VAT. Delivery costs are added unless otherwise agreed. Prices in marketing materials may change at the time of order. By placing an order, the Customer accepts the price applicable at that time.

Valostore has the right, but not the obligation, to adjust prices if exchange rates, import/export fees, public charges, or other costs beyond Valostore’s control change before payment is made.

Payment

Products must be paid for at the time of ordering unless the Customer has been approved as a Valostore Business Invoice Customer. The most common credit and debit cards are accepted.

Valostore Business Invoice

Companies registered in EU with a valid business ID and considered creditworthy by Valostore may be approved as Valostore Business Invoice customers. Valostore reserves the right to approve or reject any application at its discretion.

A minimum annual purchase of 1 000 EUR (excl. VAT) is required. Valostore may terminate the invoice option if this requirement is not met.

Payment terms for business invoices are pre payment, 14 or 30 days net. Invoices are sent free of charge as e-invoices. Products remain the property of Valostore until they are fully paid for.

Any returns are processed as credit invoices, which may be deducted from future invoices.

The business invoice agreement remains valid until further notice. Both parties have the right to terminate the agreement with 30 days written notice. Valostore may immediately terminate the agreement by notifying the Customer if the Customer has provided incorrect information, failed to make payment, breached these terms, or if Valostore determines that the Customer’s creditworthiness has deteriorated. The Customer’s right to purchase via business invoice then ceases immediately.

Valostore reserves the right to amend the terms for business invoices by notifying the Customer and/or publishing the changes on its website. The amendments will take effect no earlier than fourteen (14) days after notification.

Delivery, Freight and Lead Time

Products can be collected at the location specified in the order confirmation (EXW, named place, Incoterms 2020). The risk transfers to the Customer upon delivery of the product. If the Customer has chosen to have the product shipped, it is generally dispatched the day after the order has been placed.

Valostore strives to deliver within the estimated time but assumes no liability for delays.

Valostore may refuse or postpone delivery if the Customer has failed to meet payment or other obligations to Valostore, or if there is reason to believe that the Customer will be delayed in fulfilling such obligations. In such cases, Valostore may require advance payment, even from business invoice customers.

Warranty, Returns and Complaints

The product warranty follows the manufacturer’s warranty terms. Valostore may assess warranty matters itself or forward the product to a third party for handling.

Valostore reserves the right, at its own discretion, to repair, replace, provide a price reduction corresponding to the defect, or refund the purchase price.

Valostore has the right to dispose of a product that has not been collected within 14 days after the Customer has been informed that the defect is not covered by warranty or liability and may charge any associated costs.

The Customer is responsible for backing up or deleting any data stored on the product before submitting it for service. Valostore is not responsible for data loss during warranty or service handling.

Products may be returned within 14 days of delivery, provided that they are unused and in unopened original packaging. The right of return does not apply to products manufactured or customized for the Customer, or where it is specifically stated in the order confirmation that no right of return applies. Returns are not accepted for products not included in Valostore’s regular assortment or for special orders of larger quantities.

The Customer must inspect the product immediately upon delivery. Complaints must be submitted in writing to Valostore without undue delay and no later than 14 days after receipt.

Limitation of Liability

Valostore’s liability is in all cases limited to the value of the product excluding VAT. Valostore is not liable for loss of profit, loss of revenue, indirect damage, or damage to third parties.

The Customer must ensure before ordering that the product is suitable for the intended purpose. Valostore is not responsible for any advice or information provided for that purpose.

Valostore is not liable for defects, delays, or other breaches caused by circumstances beyond its control.

Data Protection

Valostore processes personal data in connection with order management. In this context, both the Customer and Valostore determine the purpose and means of processing, which means that both act as independent data controllers. Each party must comply with applicable data protection legislation and is individually responsible for doing so. A separate data processing agreement is therefore not required.

Telephone Calls

ValostoreB2B has the right to monitor and/or record telephone calls. Recordings are made to verify service transactions, ensure legal certainty and security, and for staff training purposes within customer service. By entering into this agreement, the Customer consents to such monitoring and/or recording.

Intellectual Property Rights

All content provided under this agreement (including images, texts, product information, trademarks, videos, logos, and tables) is protected by copyright and other intellectual property rights owned by Valostore and/or its partners. Unauthorized use or reproduction is prohibited.

Notices

All notices regarding orders and deliveries must be sent to Valostore by email to order@handshakesweden.se. Valostore is deemed to have received the notice only when it has been confirmed to the Customer.

Applicable Law & Dispute Resolution

These terms and any disputes between the Customer and Valostore are governed by Finnish law. Disputes that cannot be resolved through negotiation shall be settled in the first instance by the District Court of Helsinki.
